EXPLANATORY NOTE

This Amendment No.1 on Form 6-K/A to the report of the registrant on Form 6-K originally furnished on May 7, 2019 is being furnished to correct a typographical error in Exhibit 99.1.

The original report on Form 6-K incorrectly stated, in Item 14 of the registrant’s Form 7 - Monthly Progress Report for April 2019 dated May 7, 2019 (the “Form 7”), the number of subordinate voting shares issued to holders of Acreage Holdings WC, Inc. Class B Non-Voting Common Shares and High Street Capital Partners, LLC convertible units who submitted redemption requests to the registrant. The registrant is furnishing the corrected Form 7 as Exhibit 99.1 to this Form 6-K/A.

Other than as expressly set forth above, this Form 6-K/A does not, and does not purport to, amend, update or restate the information in any other item of the original Form 6-K, or reflect any events that have occurred after the Form 6-K was originally filed.
