Item 8.01          Other Events.

On April 5, 2022, Alta Equipment Group Inc. (the “Company”) issued a press release announcing that the Company’s board of directors has declared a dividend of $625 per share of its outstanding 10% Series A Cumulative Perpetual Preferred Stock (the “Series A Preferred”), with the record date for the dividend April 15, 2022 and the payment date May 2, 2022. This will equate to a dividend of $0.625 for each of the outstanding Depositary Shares representing a 1/1000th fractional interest in one share of Series A Preferred. The Depositary Shares trade on The New York Stock Exchange under the symbol “ALTG PRA.” The full text of the press release is filed as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.

Alta Equipment Group Announces Preferred Stock Dividend

LIVONIA, Mich. – April 5, 2022 – Alta Equipment Group Inc. (NYSE: ALTG) (“Alta”), a leading provider of premium material handling and construction equipment and related services, today announced that its Board of Directors approved the quarterly dividend on its Series A Cumulative Perpetual Preferred Stock in the amount of $625 per preferred share. This will equate to a dividend of $0.625 for each of the outstanding Depositary Shares representing a 1/1000th fractional interest in one share of Series A Preferred. The dividend payment date is May 2, 2022, to shareholders of record at the close of business on April 15, 2022.
