We have acted as counsel to you, Quantum Computing Inc., a Delaware corporation (the “Company”), in connection with the Company’s Registration Statement No. 333-235079 on Form S-1 (the “Registration Statement”) filed with the Securities and Exchange Commission (the “Commission”) pursuant to the Securities Act of 1933, as amended (the “Securities Act”) with respect to 1,625,000 shares of the Company’s common stock, par value $0.01 per share (the “Common Stock”), consisting of 500,000 shares of Common Stock issuable upon conversion of a convertible promissory note (the “Common Shares”) and up to 1,125,000 shares of Common Stock that may be issued from time to time (the “Warrant Shares”) upon exercise of warrants. This opinion is being furnished in accordance with the requirements of Item 601(b)(5) of Regulation S-K under the Securities Act.

 

As such counsel, we have examined such matters of fact and questions of law as we have considered appropriate for purposes of this letter. With your consent, we have relied upon certificates and other assurances of officers of the Company and others as to factual matters without having independently verified such factual matters. We are opining herein as to the General Corporation Law of the State of Delaware and we express no opinion with respect to any other laws.

 

Based upon the foregoing and in reliance thereon, and subject to the qualifications, limitations, exceptions and assumptions set forth herein, we are of the opinion that (i) the Common Shares, when issued upon exercise of the convertible promissory note as set forth in the Registration Statement, will be validly issued, fully paid and non-assessable, and (ii) the Warrant Shares, when issued upon the exercise of warrants against payment therefor as set forth in the Registration Statement, will be validly issued, fully paid and non-assessable.
