The Company’s initial Business Combination must be with one or moretarget businesses that together have a fair market value equal to at least 80% of the balance in the Trust Account (excludingtaxes payable on income earned on the Trust Account) at the time of the signing of an agreement to enter into a Business Combination.The Company will only complete a Business Combination if the post-Business Combination company owns or acquires 50% or more ofthe outstanding voting securities of the target or otherwise acquires a controlling interest in the target sufficient for it notto be required to register as an investment company under the Investment Company Act. The decision as to whether the Company will seek stockholder approval of a Business Combination orconduct a tender offer will be made by the Company, solely in its discretion. The stockholders will be entitled to redeem theirshares for a pro rata portion of the amount then in the Trust Account ($10.00 per Public Share, plus any pro rata interest earnedon the funds held in the Trust Account, which interest shall be net of taxes payable). In the event of such distribution, it is possible that the per share valueof the assets remaining available for distribution will be less than the Initial Public Offering price per Unit ($10.00).

TheSponsor has agreed that it will be liable to the Company, if and to the extent any claims by a vendor for services rendered orproducts sold to the Company, or a prospective target business with which the Company has discussed entering into a transactionagreement, reduce the amounts in the Trust Account to below $10.00 per share, except as to any claims by a third party who executeda waiver of any and all rights to seek access to the Trust Account and except as to any claims under the Company’s indemnityof the underwriters of the Initial Public Offering against certain liabilities, including liabilities under the Securities Actof 1933, as amended (the “Securities Act”). In the event that an executed waiver is deemed to be unenforceable againsta third party, the Sponsor will not be responsible to the extent of any liability for such third-party claims. The Company willseek to reduce the possibility that the Sponsor will have to indemnify the Trust Account due to claims of creditors by endeavoringto have all vendors, service providers, prospective target businesses or other entities with which the Company does business,execute agreements with the Company waiving any right, title, interest or claim of any kind in or to monies held in the TrustAccount.
</us-gaap:OrganizationConsolidationAndPresentationOfFinancialStatementsDisclosureAndSignificantAccountingPoliciesTextBlock>

The JOBS Act provides that a company can elect to opt out ofthe extended transition period and comply with the requirements that apply to non-emerging growth companies but any such electionto opt out is irrevocable. The Company has elected not to opt out of such extended transition period which means that when a standardis issued or revised and it has different application dates for public or private companies, the Company, as an emerging growthcompany, can adopt the new or revised standard at the time private companies adopt the new or revised standard. Conditionally redeemable common stock (including commonstock that features redemption rights that are either within the control of the holder or subject to redemption upon the occurrenceof uncertain events not solely within the Company’s control) is classified as temporary equity. At all other times, commonstock is classified as stockholders’ equity. The Company’s common stock features certain redemption rights that areconsidered to be outside of the Company’s control and subject to occurrence of uncertain future events. Shares of common stock subject to possible redemptionat March 31, 2019, which are not currently redeemable and are not redeemable at fair value, have been excluded from the calculationof basic net loss per share since such shares, if redeemed, only participate in their pro rata share of the Trust Account earnings.The Company has not considered the effect of warrants sold in the Initial Public Offering and the private placement to purchase17,150,000 shares of common stock, since the exercise of the warrants are contingent upon the occurrence of future events. Each Unit consists ofone share of common stock and one warrant (“Public Warrant”). Each Public Warrant entitles the holder to purchaseone share of common stock at an exercise price $11.50 per share (see Note 7). Each Warrant will become exercisable on the laterof 30 days after the completion of the Company’s initial Business Combination or 12 months from the closing of the InitialPublic Offering and will expire five years after the completion of the Company’s initial Business Combination or earlierupon redemption or liquidation. However, if the Company does not complete its initial Business Combination on or prior to June13, 2020, the Public Warrants will expire at the end of such period. If the Company is unable to deliver registered shares ofcommon stock to the holder upon exercise of Public Warrants issued in connection with the 13,000,000 Units during the exerciseperiod, there will be no net cash settlement of these Public Warrants and the Public Warrants will expire worthless, unless theymay be exercised on a cashless basis in the circumstances described in the warrant agreement. Once the Public Warrants becomeexercisable for cash, the Company may redeem the outstanding Public Warrants in whole and not in part at a price of $0.01 perPublic Warrant upon a minimum of 30 days’ prior written notice of redemption, only in the event that the last sale priceof the Company’s shares of common stock equals or exceeds $18.00 per share for any 20 trading days within the 30-tradingday period ending on the third trading day before the Company sends the notice of redemption to the warrant holders. The exerciseprice and number of shares of common stock issuable on exercise of the Public Warrants may be adjusted in certain circumstancesincluding in the event of a stock dividend, extraordinary dividend or our recapitalization, reorganization, merger or consolidation.In addition, if (x) the Company issues additional shares of common stock or equity-linked securities for capital raising purposesin connection with the closing of its initial Business Combination at an issue price or effective issue price of less than $9.50per share of common stock (the “Newly Issued Price”), (y) the aggregate gross proceeds from such issuances representmore than 60% of the total equity proceeds, and interest thereon, available for the funding of the Company’s initial BusinessCombination on the date of the consummation of such initial Business Combination (net of redemptions), and (z) the volume weightedaverage trading price of the Company’s common stock during the 20 trading day period starting on the trading day prior tothe day on which the Company consummates its initial Business Combination (such price, the “Market Value”) is below$9.50 per share, the exercise price of the Public Warrants will be adjusted (to the nearest cent) to be equal to 115% of the higherof the Market Value and the Newly Issued Price.
</sama:InitialPublicOfferingTextBlock>

The Company has elected not to opt out of such extended transition period which means that when a standardis issued or revised and it has different application dates for public or private companies, the Company, as an emerging growthcompany, can adopt the new or revised standard at the time private companies adopt the new or revised standard. This may makecomparison of the Company’s financial statements with another public company which is neither an emerging growth companynor an emerging growth company which has opted out of using the extended transition period difficult or impossible because ofthe potential differences in accounting standards used.
</sama:EmergingGrowthCompanyPolicyTextBlock>
