Immediately prior to the closing of the Issuer's initial public offering and following the conversion of each series of the Issuer's convertible preferred stock into common stock, each share of common stock was reclassified into one share of Class B common stock in an exempt transaction pursuant to Rule 16b-7 Each share of Class B common stock is convertible into one share of Class A common stock at the option of the holder and has no expiration date or conversion price. The stock option vested and became exercisable with respect to 25% of the shares on May 13, 2014, and vested and became exercisable thereafter in 36 additional monthly installments through May 13, 2017. The stock option vested and became exercisable in 48 equal monthly installments from May 1, 2014 to May 1, 2018. The stock option will vest and become exercisable in 48 equal monthly installments from May 1, 2015 to May 1, 2019, subject to the Reporting Person's continued service to the Issuer. The stock option will vest and become exercisable in 48 equal monthly installments from February 11, 2016 to February 11, 2020, subject to the Reporting Person's continued service to the Issuer. The stock option will vest and become exercisable in 48 equal monthly installments from May 1, 2017 to May 1, 2021, subject to the Reporting Person's continued service to the Issuer. Each restricted stock unit ("RSU") is convertible into one share of Class B common stock. The RSUs are subject to time-based and performance-based vesting conditions.
