Item 2.02 Results of Operations and Financial Condition.

On January 26, 2022, Qualtrics International Inc. (the “Company”) issued a press release, attached hereto as Exhibit 99.1 and incorporated herein by reference, announcing its financial results for the three months and full year ended December 31, 2021.

Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 24, 2022, Luka Mucic notified the Company of his resignation from the Audit Committee (the “Audit Committee”) of the Board of Directors (the “Board”) of the Company, effective as of January 26, 2022. Mr. Mucic’s decision to resign from the Audit Committee was not related to any disagreement with the Company on any matter relating to the Company’s operations, policies or practices. Mr. Mucic will continue to serve on the Board.

On January 24, 2022, the Board appointed Omar A. Johnson and Ritu Bhargava to the Board as directors, effective as of January 26, 2022. The appointments of Mr. Johnson and Ms. Bhargava fill newly created vacancies resulting from an increase in the size of the Board from nine (9) to eleven (11) directors that was approved by the Board. The Board also appointed Mr. Johnson to serve as a member of the Audit Committee to fill the vacancy created by Mr. Mucic’s resignation. The Board determined that Mr. Johnson is an “independent director” as defined in the Nasdaq listing standards and applicable rules of the Securities and Exchange Commission.

Mr. Johnson founded ØPUS Intelligence, an enterprise software company, in October 2020. Prior to that, Mr. Johnson founded ØPUS United, a professional services company, in June 2017. Prior to founding ØPUS United, Mr. Johnson served as Vice President of Marketing at Apple Inc. from July 2014 to October 2016. Prior to that, Mr. Johnson served in various senior leadership roles at Beats by Dr. Dre, which was acquired by Apple Inc. in 2014, including as Chief Marketing Officer from October 2012 to October 2016 and Vice President of Marketing from October 2010 to October 2012. Mr. Johnson holds a bachelor’s degree in Biology and Chemistry from Georgia State University and an M.B.A. from Emory University, Goizueta Business School.

Mr. Johnson will be compensated for his services as a non-employee director in accordance with the Company’s Non-Employee Director Compensation Program. Pursuant to the Non-Employee Director Compensation Program, in connection with his appointment, Mr. Johnson will be granted an initial award of restricted stock units with a grant date fair value equal to $450,000, which will vest in equal installments on each of the first three anniversaries of February 1, 2022, subject to Mr. Johnson’s continued service as a member of the Board on such dates. In addition, Mr. Johnson will be entitled to receive an annual cash retainer of $45,000 for service on the Board.

Ms. Bhargava has served as the Chief Product Officer of SAP SE (“SAP”) Customer Experience since November 2021. Prior to joining SAP, from December 2011 to October 2021, Ms. Bhargava held various technology leadership positions at salesforce.com, inc., most recently serving as Head of Engineering for Sales Cloud. Prior to that, Ms. Bhargava worked at Oracle Corporation from 2001 to 2011 and was responsible for financial applications in various roles. Ms. Bhargava holds a bachelor’s degree in Economics and Psychology from Lady Shri Ram College, Delhi University, and an M.B.A. in Finance and IT from the University of Lincolnshire in the United Kingdom.

As a non-employee director employed by SAP, Ms. Bhargava will receive no additional compensation for her services on the Board.

The Company will enter into its standard form of indemnification agreement with each of Mr. Johnson and Ms. Bhargava in connection with his and her appointment to the Board, respectively.

There are no arrangements or understandings between Mr. Johnson or Ms. Bhargava, on the one hand, and any other persons, on the other hand, pursuant to which each of Mr. Johnson and Ms. Bhargava was selected as a director. Neither Mr. Johnson nor Ms. Bhargava has any family relationship with any director or executive officer of the Company. Furthermore, there are no transactions between either of Mr. Johnson or Ms. Bhargava and the Company that would be required to be reported under Item 404(a) of Regulation S-K.

Qualtrics Announces Record Fourth Quarter and Full Year 2021 Financial Results

PROVO, Utah and SEATTLE Jan. 26, 2022– Qualtrics (NASDAQ: XM), the leader and creator of the Experience Management (XM) category, today announced financial results for the fourth quarter and fiscal year ended December 31, 2021.

"Q4 was an outstanding quarter, capping off a record year of growth for Qualtrics,” said Qualtrics CEO Zig Serafin. “Not only did we cross the $1 billion revenue milestone, but we’re accelerating past it, as experience management becomes even more critical to business success.”

Fourth Quarter 2021 Financial Highlights:

Revenue: Total revenue for the fourth quarter was $316.0 million, up from $213.6 million one year ago, an increase of 48% year-over-year. Subscription revenue for the fourth quarter was $259.0 million, up from $160.4 million one year ago, an increase of 61% year over year.
Operating Income (Loss) and Margin: Fourth quarter operating loss was $(306.1) million, compared to $(11.0) million one year ago. Non-GAAP operating income (see discussion of non-GAAP operating income (loss) and margin measures below) was $0.3 million, compared to non-GAAP operating loss of $(4.7) million one year ago. For the fourth quarter, GAAP operating margin was (97)% and non-GAAP operating margin was 0.1%.
Net Loss and Net Loss Per Share: Fourth quarter net loss was $309.8 million, or $0.56 per share, compared to $14.5 million, or $0.03 per share in the fourth quarter of fiscal year 2020. Non-GAAP net loss (see discussion of the non-GAAP net income (loss) measure below) for the fourth quarter was $39.4 million, or $0.07 per share, compared to non-GAAP net loss of $8.1 million, or $0.02 per share in the fourth quarter of fiscal year 2020.
Cash and Cash Equivalents: Total cash and cash equivalents as of December 31, 2021 was $1,014.5 million.

Full Year 2021 Financial Highlights:

Revenue: Total revenue for the fiscal year ended December 31, 2021 was $1,075.7 million, up from $763.5 million one year ago, an increase of 41% year-over-year. Subscription revenue was $870.7 million, up from $575.4 million one year ago, an increase of 51% year-over-year.
Operating Income (Loss) and Margin: Operating loss for the year was $(1,053.8) million, compared to operating loss of $(255.1) million in 2020. Non-GAAP operating income (loss) for the year was $31.9 million, compared to $(29.6) million in fiscal 2020. For the fiscal year 2021, operating margin was (98)% and non-GAAP operating margin was 3%.
Net Loss and Net Loss Per Share: Fiscal year 2021 net loss was $1,059.1 million, or $2.05 per share, compared to $272.5 million in fiscal year 2020, or $0.64 per share. Non-GAAP net loss for the year was $6.0 million, or $0.01 per share, compared to $46.0 million in fiscal year 2020, or $0.11 per share.


Financial Outlook:
1 Remaining performance obligations represent all contracted future revenue that has not yet been recognized, including both deferred revenue and non-cancelable contracted amounts that will be invoiced and recognized as revenue in future periods.




Qualtrics is providing guidance for its first quarter ending March 31, 2022 as follows:
Total revenue between $324 and $326 million.
Subscription revenue between $270 and $272 million.
Non-GAAP operating margin between 1% and 2%.
Non-GAAP net income (loss) per share between $(0.02) and $0.00 assuming 580 million weighted shares outstanding.
Qualtrics is providing its guidance for its full year ending December 31, 2022 as follows:
Total revenue between $1,402 and $1,406 million.
Subscription revenue between $1,177 and $1,181 million.
Non-GAAP operating margin between 1% and 3%.
Non-GAAP net income (loss) per share between $(0.02) and $0.00 assuming 595 million weighted shares outstanding.

We calculate free cash flow as net cash provided by operating activities less capital expenditures. Free cash flow margin is calculated as free cash flow divided by total revenue. We incurred significant cash outflows in connection with the settlement of liability-classified, stock-based awards in accordance with SAP’s employee equity compensation programs. Our free cash flow for the three months ended December 31, 2021 and 2020 includes $2.5 million and $104.6 million, respectively, in cash outflows related to the settlement of liability-classified, stock-based awards. Our free cash flow for the year ended December 31, 2021 and 2020 includes $79.4 million and $388.6 million, respectively, in cash outflows related to the settlement of liability-classified, stock-based awards.

(1)Our stock-based compensation expense reflects the recognition of both equity-classified awards and liability-classified awards. Liability-classified awards are settled in cash in accordance with SAP’s employee equity compensation programs. Liability-classified awards are recorded according to mark-to-market accounting. On January 28, 2021, the Company completed a voluntary exchange offer pursuant to which 5.4 million cash-settled legacy restricted stock awards, restricted stock unit (RSU) awards, and options (together, Qualtrics Rights) and 1.3 million cash-settled SAP RSU awards were exchanged into 12.8 million equity-settled Qualtrics RSU awards, representing 93% of the outstanding Qualtrics Rights and SAP RSU awards. On September 13, 2021, the Company completed an additional voluntary exchange offer for certain employees in Australian that were not eligible for the January 28, 2021 exchange, pursuant to which less that 0.1 million cash-settled Qualtrics Rights and SAP RSU awards were exchanged and modified into equity-settled Qualtrics RSU awards.

Qualtrics Appoints Two New Board Members

Omar Johnson and Ritu Bhargava to join the Qualtrics Board

PROVO, Utah & SEATTLE, Jan. 26, 2022 -- Qualtrics (Nasdaq: XM), the leader and creator of the Experience Management (XM) category, today announced that Omar Johnson, an innovative brand-builder and successful marketing executive and founder, and Ritu Bhargava, a seasoned SAP product leader with deep enterprise software experience, will join the Board of Directors effective immediately. With their appointment, the Qualtrics Board of Directors consists of 11 members.

Johnson is a former marketing executive at Beats by Dre and Apple and the founder of ØPUS United, a professional services firm built on his proprietary Culture-Centric Analytics and ØPUS Score. He joins the board as an independent director and will serve as a member of the audit committee. Bhargava is the Chief Product Officer for SAP Customer Experience and an experienced, customer-focused product and engineering leader. In her career, she has held leadership roles at Salesforce and Oracle. She joins the board as an SAP-appointed director.

Omar Johnson is a founder of ØPUS United, a modern professional services firm that features a multi-disciplined collective of award-winning executives, athletes, strategists, creatives, and musicians. Prior to that, he was the CMO of Beats by Dre and Vice President of Marketing at Apple.

About Ritu Bhargava

Bhargava is currently Chief Product Officer of SAP Customer Experience (CX), heading product, engineering, user experience, strategy, and operations for the entire CX portfolio. She was formerly at Salesforce, where she was head of engineering for Sales Cloud, Salesforce’s flagship product suite. She also spent 10 years at Oracle.

She holds a Bachelor’s degree in Economics and Psychology from Lady Shri Ram College, Delhi University, and an M.B.A. in Finance and IT from the University of Lincolnshire, U.K. She is co-chair of the West Coast Advisory Board for Asian University for Women (AUW), a Bangladesh-based nonprofit dedicated to women’s education and leadership development.

Bhargava enjoys supporting cricketing initiatives in America, having played on the U.S.A. Women’s Cricket team.
