The Series B Preferred Stock converted into Common Stock on a 7.15-for-one basis upon the closing of the Issuer's initial public offering without payment of consideration. The Series C Preferred Stock was convertible at any time at the holder's election and automatically upon the closing of the Issuer's initial public offering. The Series C Preferred Stock converted into Common Stock on a 7.15-for-one basis upon the closing of the Issuer's initial public offering without payment of consideration. The Series C Preferred Stock had no expiration date. On May 22, 2020, the Issuer completed a one-for-7.15 reverse stock split of the Issuer's Common Stock ("Reverse Stock Split").
