The Registrant is unable to file the Form 10-K in a timely manner because the Registrant was not able to timely complete its financial statements without unreasonable effort or expense, due to the Registrant’s recent completion of a merger with Adaptive Phage Therapeutics, Inc. (“APT”), leading to the Registrant’s need to add information about APT to the Registrant’s Form 10-K and the Registrant’s need to add part III of Form 10-K due to its inability to file a Proxy Statement for the Registrant’s annual meeting within 120 days after the end of the 2023 fiscal year. The Registrant anticipates filing its Form 10-K for the period ended December 31, 2023 on or before the fifteenth calendar day following the prescribed due date.
