A description of the ordinary shares, par value $0.01 per share (the “Ordinary Shares”), of China Xiangtai Food Co., Ltd., a Cayman Islands corporation, (the “Registrant”) is set forth under the heading “Description of Ordinary Shares” contained in the Registrant’s registration statement on Form F-1 (File No. 333-226990), as initially filed with the Securities and Exchange Commission (the “Commission”) on August 24, 2018, as subsequently amended (the “Registration Statement”), and in the prospectus included in the Registration Statement filed separately by the Registrant with the Commission pursuant to Rule 424(b) under the Securities Act of 1933 on February 19, 2019, as amended, which is incorporated by reference herein.
