The Registrant previously registered shares of common stock for issuance under the 2019 Plan and the 2019 ESPP pursuant to Registration Statements on Form S-8 filed with the Commission on October 31, 2019 (File No. 333-234416) and March 31, 2021 (333-254936) (together the “Prior Registration Statements”).
