Item 8.01 Other Events.

 

As previously reported, on July 26, 2019, Gordon Pointe Acquisition Corp. (the “Company”) amended its amended and restated certificate of incorporation to extend the date by which the Company must consummate its initial business combination from July 30, 2019 to October 31, 2019, provided that the Company may further extend such date up to three times, each by an additional 30 days. Also as previously reported, on September 16, 2019, the Company entered into a definitive merger agreement with HOF Village, LLC (“HOFV”) for a proposed business combination.

 

On October 29, 2019, the Company elected to extend the deadline to consummate its proposed business combination for 30 days. In connection with such 30-day extension, the Company’s sponsor contributed to the Company $0.033 for each of the Company’s public shares outstanding, for an aggregate contribution of $364,766.79, which amount was deposited into the Company’s trust account established in connection with the Company’s initial public offering.

 

The Company now has until November 30, 2019 to consummate its proposed business combination, or to further extend such deadline for up to two additional 30-day periods by depositing additional funds into the trust account pursuant to its amended and restated certificate of incorporation, as amended.

 

Additional Information

 

In connection with the proposed business combination between the Company and HOFV, GPAQ Acquisition Holdings, Inc., a wholly-owned subsidiary of the Company (“Holdings”) will file with the SEC the Registration Statement on Form S-4 for the Holdings securities to be issued to the security holders of the Company and the members of HOFV Newco, LLC (“Newco”) at the closing of the business combination, which Registration Statement will contain preliminary and definitive proxy statements of the Company in connection with a special meeting of the stockholders of the Company to consider and vote on the business combination and related matters. Holdings and the Company will mail the definitive Registration Statement on Form S-4 containing the definitive proxy statement and other relevant documents to its stockholders in connection with the meeting.

 

Investors and security holders of the Company are advised to read, when available, the draft of the Registration Statement, the preliminary proxy statement and amendments thereto, and the prospectus and the definitive proxy statement in connection with the Company’s solicitation of proxies for its special meeting of stockholders to be held to approve the proposed transaction because the proxy statement/prospectus will contain important information about the proposed transaction and the parties to the proposed transaction. The definitive proxy statement/prospectus will be mailed to stockholders of the Company as of a record date to be established for voting on the proposed transaction.
