This sale was made to cover withholding taxes following the vesting of the previously granted restricted stock units. The shares were sold pursuant to a written instruction under Rule 10b5-1(c)(1). Represents 83,716 shares held by Mr. Ganot as an individual, and 4,042 shares held by Mr. Ganot and Annie Ganot as joint tenants with right of survivorship. Represents 19,394 shares held by Adam Ganot and Annie Ganot, and their successors, as the trustees for the Ilan Ganot 2017 Irrevocable Trust dated March 3, 2017. The restricted stock units were granted on May 2, 2022 and vest in two equal annual installments beginning on the first anniversary of the grant date. On December 2, 2022 (the "Grant Date"), Mr. Ganot was granted 6,333 restricted stock units, vesting in equal quarterly installments with the first installment vesting three months from the Grant Date and the final installment vesting date being the date that is 12 months from the Grant Date; provided that in the event of a change in control the restricted stock units shall accelerate in full.
