Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

Effective November 14, 2018, James Barnes, the Chief Financial Officer, Secretary and Treasurer of Wrap Technologies, Inc. (the Company), resigned from his position as a director on the Companys Board of Directors. Mr. Barnes resignation as a director was not in connection with any disagreement regarding our operations, policies or practices, but rather in order to ensure that the majority of the members of the Companys Board of Directors qualify as independent directors, pursuant to the standards established by the Securities and Exchange Commission and the Nasdaq Capital Market, with the goal of facilitating the Companys previously announced application to list its common stock for trading on the Nasdaq Capital Market.


Mr. Barnes will continue to serve as the Companys Chief Financial Officer, Secretary and Treasurer.
