NOTE 6－  COMMON STOCK

Authorized shares

The Company has 75,000,000 shares of common stock authorized, par value $0.001 per share.

Issued and outstanding shares

In January 2024, the Company issued 19,141,020 shares of common stock at a cash price of $0.05 per share for the total proceeds of $957,051 in the private placement.

As of April 30, 2025 and 2024, there were 25,012,270 shares of common stock issued and outstanding.

Share-based compensation

On January 8, 2024, the Company granted 5,000 common stocks issuable per month in total of 60,000 common stocks to the Chief Financial Officer - Steve Niu at fair value of $0.05 per share, subject to vesting condition in completion of one year of service. For the years ended April 30, 2025 and 2024, the Company recognized share-based compensation in the amount of $2,000 and $1,000, respectively. As of April 30, 2025, the Company’s common stock to be issued totaled 60,000.
