(1) On May 16, 2025, Mr. Howard Lutnick agreed to sell 11.0 million shares of Newmark Class A common stock beneficially owned by him to Newmark at a price of $11.58 per share pursuant to the Company’s Share Repurchase and Unit Purchase Authorization. Such repurchase closed on May 19, 2025 and October 6, 2025, and was approved by the Audit Committee.
