REGISTRATION OF ADDITIONAL SECURITIES

On April 27, 2018, the stockholders of Xperi Corporation (the “Company”) approved the Seventh Amended and Restated 2003 Equity Incentive Plan, as amended by the First Amendment to the Seventh Amended and Restated 2003 Equity Incentive Plan (together, the “2003 Plan”), and the Amended and Restated 2003 Employee Stock Purchase Plan (the “2003 ESPP”) increasing the number of authorized shares of the Company’s common stock, par value $0.001 per share (the “Common Stock”), that may become issuable under the 2003 Plan and 2003 ESPP by 3,900,000 shares and 1,000,000 shares, respectively. The Company is filing this registration statement (this “Registration Statement”) on Form S-8 to register such additional shares.

By the registration statements on Form S-8 filed with the Securities and Exchange Commission (the “Commission”) on May 7, 2004 (File No. 333-115311), June 10, 2004 (File No. 333-116369), October 10, 2006 (File No. 333-137933), June 13, 2008 (File No. 333-151659) and August 6, 2010 (File No. 333-168597) (the “Prior 2003 Plan Registration Statements”), our predecessor, Tessera Technologies, Inc.
