Item 1.01

Entry into a Material Definitive Agreement.

As previously disclosed, on June 14, 2023, NexTier Oilfield Solutions Inc. (“NexTier”) entered into an Agreement and Plan of Merger (the “Merger Agreement”) with Patterson-UTI Energy, Inc. (“Patterson-UTI”) and the other parties named therein pursuant to which NexTier and Patterson-UTI agreed to combine their respective businesses (the “Proposed Merger”). On July 27, 2023, NexTier entered into an Amendment to the Merger Agreement with Patterson-UTI (the “Amendment”) with respect to the new voting standard under Delaware law for the Patterson-UTI charter amendment proposal.

The foregoing description is qualified in its entirety by reference to the full text of the Amendment, which is filed as Exhibit 2.1 to this Current Report on Form 8-K.

 

Item 8.01

Other Events.

In connection with the Proposed Merger, on July 28, 2023, NexTier and Patterson-UTI issued a joint press release announcing that the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended (the “HSR Act”), expired on July 27, 2023. The expiration of the waiting period under the HSR Act satisfies one of the conditions to the closing of the Proposed Merger. A copy of the joint press release is filed as Exhibit 99.1 to this Current Report on Form 8-K.

Important Additional Information Regarding the Merger of Equals Will Be Filed With the SEC

In connection with the Proposed Merger, Patterson-UTI filed with the SEC on July 17, 2023 a registration statement on Form S-4 that includes a joint proxy statement of NexTier and Patterson-UTI that also constitutes a prospectus of Patterson-UTI. Each of NexTier and Patterson-UTI also plan to file other relevant documents with the SEC regarding the Proposed Merger. No offering of securities shall be made, except by means of a prospectus meeting the requirements of Section 10 of the U.S. Securities Act of 1933, as amended. Any definitive joint proxy statement/prospectus (if and when available) will be mailed to stockholders of Patterson-UTI and NexTier.
