On May 17, 2023, Canadian Pacific Kansas City Limited (f/k/a Canadian Pacific Railway Limited), a Canadian corporation (the “Corporation”), granted one-time equity awards (the “Equity Awards”) to certain officers including Messrs. Velani, Brooks and Redd, pursuant to the Performance Share Unit Plan for Eligible Employees of Canadian Pacific Railway Limited (the “Plan”). The Equity Awards consist of performance share units, each representing the right to receive the Market Value (as defined in the Plan) of one common share of the Corporation subject to achievement of synergy EBITDA targets and relative total shareholder return performance measures over a performance period of April 28, 2023 to December 1, 2026. Messrs. Velani, Brooks and Redd were granted awards with target grant values of CAD$3.98 million, USD$2.59 million and USD$2.57 million, respectively.
