Report of Voting Results
(Section 11.3 of National Instrument 51-102)

In accordance with section 11.3 of National Instrument 51-102 – Continuous Disclosure Obligations, this report describes the matters voted upon and the outcome of the votes at the annual meeting (the "Meeting") of shareholders (the "Shareholders") of MFC Industrial Ltd. (the "Company") held on December 21, 2012 in Hong Kong SAR, China.

Election of Directors

At the Meeting, Shareholders voted in favour of the election of Indrajit Chaterjee as a Class I director of the Company as set forth in the Company’s management information circular dated November 20, 2012.

Appointment of Auditors

At the Meeting, Shareholders voted in favour of the appointment of Deloitte & Touche LLP as the auditors of the Company, and the Shareholders authorized the directors to fix the remuneration to be paid to such auditors.
