This Amendment No. 1 to Schedule 13G (this "Amendment No. 1") is being filed to correct an inadvertent overstatement of the number of shares that Forager Capital Management, LLC has sole voting power and sole dispositive power over, as well as an inadvertent overstatement of the aggregate amount of shares beneficially owned by Forager Capital Management, LLC, in the Schedule 13G filed by the reporting persons (the "Reporting Persons") on July 10, 2025 (the "Original Schedule 13G"). The Original Schedule 13G mistakenly reported Forager Capital Management, LLC as having sole voting power and sole dispositive power over 194,600,174 shares of Common Stock (as defined below), as well as beneficially owning an aggregate of 194,600,174 shares of Common Stock. Such amounts have been correctly reported herein as 1,946,174 shares of Common Stock. This Amendment No. 1 is also being filed to provide the Joint Filing Agreement, dated July 10, 2025, by and among the Reporting Persons, which was inadvertently excluded from the Original Schedule 13G.
The Reporting Persons, in the aggregate, beneficially own 1,946,174 shares of common stock, $0.0001 par value, of the Issuer ("Common Stock").
