Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
 

On May 28, 2022 the Compensation Committee of the Board of Directors of Verra Mobility Corporation approved and adopted an amended form of notice of grant and award agreement for the grant of Performance Share Units (the “PSU Grant and Award Agreement”) under the Verra Mobility Corporation 2018 Equity Incentive Plan. The PSU Grant and Award Agreement was amended to, among other things, adjust the comparator group to the S&P 1000 and modify certain performance thresholds in connection therewith.
