Item 5.02.

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 18, 2025, Chenming C. Hu, a current member of the Board of Directors (the “Board”) of ACM Research, Inc. (the “Company”) provided the Board with notice of his intent not to stand for reelection to the Board at the 2025 Annual Meeting of Stockholders. Dr. Hu’s decision not to pursue reelection was not due to a disagreement with the Company, whether with respect to any matter relating to the Company’s operations, policies, or practices or otherwise. Dr. Hu will continue to serve as a director of the Company until the expiration of his term at the 2025 Annual Meeting of Stockholders.
