Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 1, 2021, Ms. Kathleen Sebelius notified the board of directors (the “Board”) of Myovant Sciences Ltd. of her intention to retire from service on the Board upon expiration of her current term, and therefore, that she will not stand for re-election to the Board at Myovant’s annual general meeting of shareholders to be held in 2021. Ms. Sebelius’ decision not to stand for re-election to the Board is not the result of any disagreement with Myovant. Myovant extends its deepest gratitude to Ms. Sebelius for her distinguished service to the Board and lasting contributions to Myovant.
