The PSUs vested upon the Reporting Person's satisfaction of certain performance criteria. On February 11, 2022, the Issuer's Board of Directors determined the level at which the corporate performance goals were attained, resulting in the vesting of 23,801 shares of Common Stock underlying the PSUs. These shares were disposed of in non-discretionary transactions to cover the reporting person's tax withholding obligations in connection with the settlement of an award of PSUs.
