Material Terms of Trading Arrangement

On December 6, 2023, Dr. Katherine High, a member of our Board of Directors, adopted a trading arrangement intended to satisfy the affirmative defense conditions of Securities Exchange Act Rule 10b5-1(c) (a "Rule 10b5-1 trading arrangement") with respect to the sale of up to an aggregate of 22,000 common shares of the Company pursuant to the terms of such trading plan.
