Item 5.02.
Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 20, 2019, Peter Maxwell, Executive Vice President and President, Europe, notified JELD-WEN Holding, Inc. (the “Company”) of his intention to resign, effective June 30, 2020, in accordance with the 12-month notice requirement of his employment agreement. Mr. Maxwell will remain in his role with the Company for a transition period until July 31, 2019, after which he will be available to consult with the Company as needed.

The Company has appointed David Guernsey as Senior Vice President to assume Mr. Maxwell’s operational duties effective July 18, 2019. Mr. Guernsey joins the Company from Ingersoll Rand Inc. where he most recently held the position of Vice President, Finance for their Commercial Heating, Ventilation and Air Conditioning business for North America, Europe, Middle East and Africa.
