Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Stan Soroka, Executive Vice President and Chief Customer Officer of Hilton Grand Vacations Inc. (the “Company”), notified the Company that he intends to retire from the Company effective December 31, 2022. Mr. Soroka has agreed to work closely with the Company to facilitate an orderly transition for his successor.
