(the "Issuer"). In the Redemption, Liberty redeemed (i) 0.4 of each outstanding share of its Series A Liberty Ventures common stock for 0.4 of a share of the Issuer's Series A common stock and (ii) 0.4 of each outstanding share of its Series B Liberty Ventures common stock for 0.4 of a share of the Issuer's Series B common stock (in each case, with cash paid in lieu of any fractional shares). Each share of the Issuer's Series B common stock is convertible, at the holder's election, into one share of the Issuer's Series A common stock at any time for no consideration other than the surrender of the share of Series B common stock for the share of Series A common stock. The reporting person disclaims beneficial ownership of these shares owned by his spouse. This amendment is being filed in order to amend and restate the Form 4 filed on November 8, 2016 (the "initial filing") to (1) correct an inadvertent error in the signature block and (2) remove the previously included Remarks that were inapplicable in light of the transactions reported in the initial filing.
