SUBSEQUENT EVENT - DIVIDEND

On

April 11, 2018,

Board of Directors declared a special cash dividend of

$1.25

per share. The special dividend will be paid on

May 9, 2018

to stockholders of record as of

April 25, 2018.

In addition to the reduction in equity that will result from the payment of the special dividend, the Company expects to incur expense of

$94,000

related to the payment of dividends on unvested restricted stock.
