Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On May 31, 2019, Jesse W. Crowne resigned as Chief Executive Officer of Brain Scientific Inc. (the “Company”). Mr. Crowne will remain with the Company as a director and will serve, subject to his prior resignation or removal, in accordance with the By-Laws of the Company and until his successor is duly elected and qualified.

 

As a result of Mr. Crowne’s resignation, the Company’s Board of Directors unanimously decided that it will collectively manage the Company until such time as a new CEO is identified and appointed.
