On May 5, 2021, the compensation committee of the board of directors of the Issuer accelerated the vesting of the common stock underlying the RSUs to that same date, in connection with the Reporting Person's previously-announced departure from the Issuer on such date. Each RSU represented the right to receive one share of the Issuer's common stock upon vesting.
