Item 1.01 Entry into a Material Definitive Agreement.
On March 27, 2020, Centennial Resource Production, LLC (“CRP”), a subsidiary of Centennial Resource Development, Inc. (the “Company”), entered into an amendment (“Amendment No. 1”) to that certain Purchase and Sale Agreement, dated as of August 2, 2018 by and between BP Products North America Inc. (“BP”) and CRP (the “Agreement”). Capitalized terms used but not defined herein have the meanings set forth in the Agreement.
Amendment No. 1, among other things, delayed the commencement of Period 2, including the pricing terms and delivery commitments associated with Period 2, to January 1, 2021. Amendment No. 1 also affirmed May 31, 2025 as the end date for Period 2 and the Initial Term for the Agreement.
