I want to first thank all of you who were able to attend the Investor Call and/or Townhall this morning. As I mentioned, today is a very important and exciting day for Centennial as we announced an agreement to merge with Colgate Energy Partners. This is a transformational event for both companies and the combined entity will create the largest pure-play E&P in the Delaware Basin, which will take Centennial – and Colgate – to the next level.

As I mentioned in the calls this morning, this business combination is considered a merger of equals with Centennial owning slightly more than 50%. Colgate and Centennial have both done a great job over the last few years growing the companies to where they are today – and we are all committed to the idea that the combined entity will be well positioned for future success. In the combined company, I will become Executive Chairman, Will Hickey and James Walter, current co-CEOs of Colgate will remain in the co-CEO role while George Glyphis will remain as CFO and Matt Garrison as COO.

It is our expectation that the combined company will operate under a new name and be headquartered in Midland – but those decisions and the few leadership positions I announced above are the only staffing decisions we’ve finalized. That said, we intend for the Denver office to remain open for the foreseeable future as we take the necessary time to think about the needs of the combined business and the talent we’ve assembled so that we can plan and staff accordingly.

Subject to regulatory approval, the transaction is expected to close sometime during the second half of 2022. For now, it’s business as usual – which I know is much easier said than done. However, it is important that we continue to execute like we’ve been doing over the last few years. We are committed to providing you with regular updates to keep you apprised of the status of the merger until it closes. If you have any questions in the meantime, please direct them to mergerinfo@cdevinc.com.
