Item 2.02              Results of Operations and Financial Condition

 

On February 20, 2019, Owl Rock Capital Corporation II (the “Company”) increased its public offering price from $9.46 per share to $9.51 per share. The increase in the public offering price will be effective as of the Company’s February 20, 2019 weekly closing and first applied to subscriptions in good order from February 14, 2019 through February 20, 2019.

 

In accordance with the Company’s previously disclosed share pricing policy, the Company determined that an increase in the public offering price per share was warranted following an increase in the Company’s net asset value per share to $9.03 as of February 20, 2019. As a result of the increase in the Company’s public offering price, the maximum sales load and net proceeds per share will be approximately $0.48 per share and $9.03 per share, respectively.
