Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Resignation of Named Executive Officer

On December 19, 2022, Michael A. Racusin resigned as General Counsel and Corporate Secretary of Hartman vREIT XXI, Inc. (the “Company”). Mr. Racusin's resignation was not the result of any disagreements with the Company regarding any matters related to its operations, policies, practices, or otherwise.

Louis T. Fox III, the current Chief Financial Officer and Treasurer, will serve as interim Corporate Secretary.
