(the “Company”) and the warrants, each to purchase one share of common stock, being registered hereunder is set forth under the captions entitled “Description of Capital Stock” and “Description of Securities We Are Offering,” respectively, in the Company’s Registration Statement on Form S-1 (File No. 333-234415), as initially filed with the Securities and Exchange Commission on October 31, 2019, as amended on January 13, 2020 and January 21, 2020 (the “Registration Statement”), and in the prospectus included in the Registration Statement to be filed separately by the Company with the Securities and Exchange Commission pursuant to Rule 424(b) under the Securities Act of 1933, as amended, which prospectus shall be deemed to be incorporated by reference herein.
