This joint statement on Schedule 13G is filed by aeris CAPITAL Archer L.P. (“Aeris”) and SGR Sagittarius Holding AG (“SGR”), who are collectively referred to herein as the “Reporting Persons.”

As of December 31, 2016, the Reporting Persons, in the aggregate beneficially own 3,374,917 shares of Common Stock of the Issuer, representing approximately 7.8% of such class of securities. The beneficial ownership of each Reporting Person is as follows: (i) Aeris beneficially owns 1,462,640 shares of Common Stock of the Issuer representing approximately 3.4% of the class and (ii) SGR beneficially owns 1,912,277 shares of Common Stock of the Issuer representing approximately 4.4% of the class. The percentage of Common Stock beneficially owned by the Reporting Person is based on a total of 43,399,547 shares of Common Stock outstanding as of December 31, 2016, as reported in the Issuer’s registration statement on Form S-3 filed with the Securities and Exchange Commission on January 9, 2017.

Under certain circumstances set forth in the limited partnership agreement of Aeris, the general and limited partners of such entity may be deemed to have the right to receive dividends from, or the proceeds from, the sale of shares of the Issuer owned by each such entity of which they are a partner or member, as the case may be.
