Item 5.02              Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On January 3, 2023,  Mobile Infrastructure Corporation (the “Company”) announced the retirement of Mr. Shawn Nelson from the Company’s Board of Directors (the “Board”), effective December 31, 2022, as previously reported in the Company’s Form 8-K filed on January 3, 2023. On January 31, 2023, the Board voted to elect David Garfinkle as a director of the Board to fill the vacancy created by Mr. Nelson’s retirement. Mr. Garfinkle will serve as a director until the Company’s next annual meeting of stockholders and until his successor is duly elected and qualifies, and he is expected to stand for election to the Board by the Company’s stockholders at such meeting. Mr. Garfinkle currently serves as the Executive Vice President and Chief Financial Officer of CoreCivic, Inc., a public company and the nation’s largest owner of partnership correctional, detention and residential reentry facilities in the United States.

 

There is no arrangement or understanding between Mr. Garfinkle and any other person pursuant to which he was selected as a director. In addition, there are no transactions in which Mr. Garfinkle has an interest that are required to be disclosed under Item 404(a) of Regulation S-K.

 

Mr. Garfinkle will be compensated for his service on the Board and any committees of the Board to which he is appointed to in the future in the same manner as the Company’s other non-employee directors.

 

In connection with Mr. Garfinkle’s election to the Board, the Company has entered into an indemnification agreement with Mr. Garfinkle in substantially the same form as the indemnification agreement that was previously filed with the Securities and Exchange Commission as Exhibit 10.5 to the Pre-Effective Amendment No. 2 to the Registration Statement on Form S-11 on September 24, 2015. The indemnification agreement provides, in general, that the Company will indemnify Mr. Garfinkle to the fullest extent permitted by applicable law in connection with his service to the Company or on the Company’s behalf.

 

Item 8.01              Other Events

 

On February 6, 2023, the Company issued a press release announcing the election of Mr. Garfinkle. A copy of the press release is attached as Exhibit 99.1 and is incorporated herein by reference.

This document relates to the proposed transactions (the “Proposed Transactions”) contemplated by that agreement and plan of merger (the “Merger Agreement”), dated December 13, 2022, by and among Fifth Wall Acquisition Corp. III (“FWAC”), Mobile Infrastructure Corporation, a Maryland corporation (“MIC”), and Queen Merger Corp. I, a Maryland corporation and a wholly-owned subsidiary of FWAC. (Cincinnati, Ohio, February 6, 2023) – Mobile Infrastructure Corporation (the “Company” or “MIC”), a publicly registered, non-listed company which invests primarily in parking lots and garages in the United States, announced today the appointment of David Garfinkle to the Company’s Board of Directors (“the Board”), effective January 31, 2023. Garfinkle is filling a vacancy following the retirement of Shawn Nelson in January.

 

Mr. Garfinkle currently serves as the Executive Vice President and Chief Financial Officer of CoreCivic, Inc., a public company and the nation’s largest owner of partnership correctional, detention and residential reentry facilities in the United States. Mr. Garfinkle served as CoreCivic’s Vice President of Finance and Controller from February 2001 to May 2014. From 1996 to 2001, Mr. Garfinkle served as Vice President and Controller for Bradley Real Estate, Inc., a publicly traded REIT. Prior to joining Bradley Real Estate, Inc., Mr. Garfinkle was a Senior Manager at KPMG Peat Marwick, LLP. Mr. Garfinkle is a Certified Public Accountant and holds a bachelor’s degree in business administration from St. Bonaventure University.
