EXPLANATORY NOTE

LivaNova Plc (the “Company”) is furnishing this current report on Form 8-K solely to furnish the press release announcing preliminary unaudited revenue results under Item 2.02 of Form 8-K. This Form 8-K amends, restates and supersedes the Company’s original current report on Form 8-K filed on April 5, 2019.

Item 2.02 Results of Operations and Financial Condition.

On April 5, 2019, the Company issued a press release announcing preliminary unaudited revenue results for the quarter ended March 31, 2019.
