Item 5.02  Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On May 21, 2020, we received from our member, La Plata Electric Association, Inc., as required by our bylaws, certification that such member has elected Kohler McInnis to replace Kirsten Skeehan as the director representing such member on our Board of Directors. Mr. McInnis is expected to serve on the External Affairs-Member Relations Committee.
