EXPLANATORY NOTE

This Post-Effective Amendment No. 27 relates to the Nushares ESG Large-Cap Growth ETF, Nushares ESG Large-Cap Value ETF, Nushares Mid-Cap Growth ETF, Nushares Mid-Cap Value ETF, Nushares ESG Small-Cap ETF, Nushares ESG International Developed Markets Equity ETF and Nushares ESG Emerging Markets Equity ETF (collectively, the “Funds”), each a separate series of Nushares ETF Trust (the “Trust”). The sole purpose of this filing is to file as an exhibit to the Trust’s registration statement, risk/return information in interactive data format for the Funds.
