Item 5.03.

Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On September 14, 2021, AB Private Credit Investors Corporation (the “Fund”) filed Articles of Amendment (the “Amendment”) to its Articles of Amendment and Restatement (the “Charter”). The Amendment amends Article VIII of the Charter to clarify that, consistent with the Fund’s offering documents, a general tender offer program is an additional liquidity measure that obviates the need to pursue a wind down and/or liquidation and dissolution of the Fund.
