The issuance of Class A Shares by the Issuer in connection with the Reporting Person's exercise of his Exchange Right does not dilute outstanding Class A Shares because an exercise proportionately reduces Tallgrass KC's Class B shares of the Issuer and Units representing limited liability company interests in Tallgrass Equity, LLC ("Tallgrass Equity") and proportionately increases the Issuer's ownership of Tallgrass Equity.
