As of October 5, 2016, the Accounts held 2,927,492 shares of common stock of the Issuer, par value $0.001 per share (the “Shares”).

 

Based on information disclosed in the Issuer’s Quarterly Report on Form 10-Q for the fiscal quarter ended June 30, 2016, filed with the Securities and Exchange Commission on August 11, 2016, there were 23,521,219 Shares outstanding as of August 11, 2016. In addition, based on information disclosed in the Issuer’s Quarterly Report on Form 10-Q for the fiscal quarter ended September 30, 2016, filed with the Securities and Exchange Commission on November 10, 2016, on October 5, 2016, the Issuer issued 2,250,000 Shares in a registered public offering. Accordingly, there were 25,771,219 Shares outstanding as of October 5, 2016. As a result of the foregoing, for purposes of Reg. The Reporting Person serves as the investment manager to certain managed accounts (the “Accounts”), and possesses the sole power to vote and the sole power to direct the disposition of all securities of VolitionRX Limited (the “Issuer”) held by the Accounts. The general partner of the Reporting Person is Lagoda Investment Management, LLC, a Delaware limited liability company (the “General Partner”). Richard Bayles, Fatima Dickey and Youngdawn Daniel Ha, as the managing principals of the General Partner, possess the voting and dispositive power with respect to all securities beneficially owned by the Reporting Person.
