Amended and Restated 2015 Long-Term Incentive Plan (Amended and Restated as of June 16, 2020) (the “Plan”) being registered hereon.

EXPLANATORY NOTE
Pursuant to General Instruction E of Form S-8, this Registration Statement on Form S-8 is being filed in order to register an additional 3,000,000 Common Shares under the Plan, for which previously filed Registration Statements on Form S-8 are effective.
