Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Effective as of December 15, 2023, Peter Smith, Chief Investment Officer and Vice President of TPG RE Finance Trust, Inc. (the “Company”), and Deborah Ginsberg, General Counsel, Secretary and Vice President of the Company, shall no longer serve in their respective roles. Mr. Smith and Ms. Ginsberg will serve as advisors to an affiliate of TPG RE Finance Trust Management, L.P., the Company’s external manager, through a planned transition period.
