The Class A common shares were acquired through the exercise of subscription rights by RSR, LLC, which exercised such subscription rights on June 29, 2015. Each such subscription right entitled its holder to purchase from the issuer one half of one Class A common share at a price of $29.58 per whole Class A common share. The Class A common shares were omitted from the reporting person's original Form 3 due to an administrative error. The securities are held in the account of RSR, LLC, and may be deemed to be beneficially owned by Mr. Steinberg because he serves as the managing member of RSR, LLC.
