ITEM 8.01 OTHER EVENTS.

On January 24, 2019, it was resolved by the shareholders that the Company´s Stock be Reverse Split at the ratio of 3:1 (Three-to-One), any fractional shares to be rounded up to the next whole number and with par value of $0.001 to remain unchanged. The Reverse Split is not yet implemented.

On November 07, 2019, the board resolved that the above Reverse Split should be implemented. On November 22, 2019, FINRA approved the Reverse Split to be effective on November 25, 2019.
