On March 28, 2018, on the recommendation of its Compensation Committee, the Board of Directors of Uniti Group Inc. approved an amendment and restatement of the Uniti Group Inc. 2015 Equity Incentive Plan (the “Plan”) to mandate a minimum one-year vesting period and to prohibit cash buyouts of underwater options and stock appreciation rights. The foregoing description of the Plan does not purport to be complete and is subject to, and qualified in its entirety by, the full text of the Plan filed as Exhibit 10.1 hereto and incorporated herein by reference.
