I want to thank all those around the world who joined us for our video conference on the day of our announcement and have since reached out with thoughts and questions about our decision. Just like your skill and dedication drive our success everywhere we conduct business, your voice and your input will help drive our ability to deliver meaningful content about our transaction in the weeks and months to come. This message is the first in a series of periodic updates we will provide through the close of our transaction. The goal is to keep you informed about significant milestones in our process because we understand the importance of regular communication at a time of significant organizational change. Today, I want to share a bit about the early market reaction to our announcement, some details around the regulatory process we’ve started to work through, and some of the channels you should monitor for news in the months to come. As many of you likely saw, the market did not have a significant reaction to our announcement nor our most recent earnings report. In fact, following both events, our stock price trended down. We believe there are a few factors influencing this trend. For starters, our transaction isn’t expected to close until late 2024 or early 2025. We firmly believe in the long-term benefits of separating our businesses, and we’ve repeatedly heard from investors who agree that the transaction will benefit our businesses by creating two pure-play companies focused on their respective industries. However, market reaction can sometimes favor short-term results versus longer-term impacts, and we have a lot of work to do before closing. The timeline for closing is driven by a variety of factors, including approval by IGT and Everi shareholders, and receipt of the required regulatory approvals. We must secure antitrust approval in the U.S. along with the approval of several


 
financial service regulatory bodies. We must also work with gaming regulators responsible for more than 400 licenses we maintain around the world. Max Chiara, our chief financial officer, did a nice job explaining this process during his most recent town hall. He additionally highlighted our commitment to balancing our 2023 full-year results with more moderate expectations for the first quarter of 2024. We are all excited to see how the market reacts later in the year, as we progress toward closing our transaction, and move closer to realizing the benefits of separating our businesses. In the meantime, please make sure to familiarize yourself with the communication channels we have established for news about the transaction.
